On April 30, 1934, defendant-lessor Rabinowitz leased commercial store premises to plaintiff-lessee Adrian for a six-month term scheduled to begin on June 15, 1934. The lease contained a covenant for quiet enjoyment. At the time the lease was executed, the property was occupied by another tenant. This prior tenant wrongfully held over past the expiration of their tenancy, preventing Adrian from taking possession on June 15. The lessor, Rabinowitz, successfully brought dispossess proceedings against the holdover tenant, and Adrian finally gained possession on July 9, 1934. Adrian sued for damages resulting from the delay, claiming losses on seasonal merchandise he had purchased in anticipation of opening his shoe store on time. The trial court found for Adrian. Rabinowitz appealed, arguing that she had no duty to deliver actual possession, only the legal right to it, and that the holdover tenant was a stranger for whose actions she was not responsible.
