From 1991 to 2007, R.J. Reynolds Tobacco Company (RJR) operated the “Camel Cash” customer loyalty program. Consumers were encouraged to purchase Camel cigarettes, save the included “C-Note” certificates, and redeem them for merchandise listed in catalogs. The C-Notes themselves used the word “offer” and specified certain restrictions. The plaintiffs were consumers who enrolled in the program and collected C-Notes, some for many years, in reliance on RJR’s promises. In October 2006, RJR announced the program would terminate on March 31, 2007, and represented that consumers could redeem their C-Notes until that date. However, the plaintiffs alleged that immediately following the announcement, RJR ceased printing catalogs and made no merchandise available for redemption, rendering their accumulated C-Notes worthless. They sued for breach of contract and promissory estoppel. The district court dismissed the complaint for failure to state a claim, finding no enforceable offer had been made.
