Apex LLC, a cottonseed merchandiser, and Sharing World, Inc., an animal feed broker, entered into 12 oral agreements for the sale of cottonseed between February 2008 and January 2009. Both parties were merchants under the UCC. For each transaction, the parties agreed on quantity, price, and a shipment period. Apex then sent a written confirmatory ‘sales contract’ to Sharing World, which never signed or objected in writing to any of them. The market price for cottonseed dropped precipitously, and Sharing World refused to accept delivery of the majority of the cottonseed, claiming its obligation was subject to an oral condition precedent: that its own customers in South Korea first had to issue letters of credit. After months of failed negotiations to resolve the issue, Apex ‘washed’ the contracts by reselling the cottonseed at the current, lower market price and sued Sharing World for the difference between the contract prices and the resale price. The trial court found for Sharing World, holding there was no mutual assent and that the oral condition precedent was valid and unfulfilled.
