Steven MacHutta developed the Apple Valley Gardens condominium complex in the late 1970s. The original Declaration of Condominium, recorded in 1979, stated units were for “single family residential use only” and acknowledged that leases would not relieve an owner of obligations, but it contained no explicit prohibition or affirmative right concerning unit rentals. Gloria and Steven MacHutta (the MacHuttas) each owned a unit. In December 2002, the Apple Valley Gardens Association (the Association) duly amended its bylaws to prohibit the rental of condominium units, with a grandfather clause for leases existing as of December 18, 2002. In 2004, after her existing tenant vacated, Gloria MacHutta leased her unit to a new tenant, asserting the bylaw amendment was ineffective because it was not in the declaration. The Association filed suit seeking a declaratory judgment that the bylaw amendment was enforceable. The MacHuttas argued the rental prohibition must be in the declaration, that the declaration created a right to rent, and that the prohibition rendered title unmarketable. A prior settlement agreement permitted Steven MacHutta to rent his units but did not grant this right to Gloria MacHutta for the unit at issue.
