Gatz Properties, LLC, managed by William Gatz, was the manager and controlling member of Peconic Bay, LLC, which operated a golf course on land leased from the Gatz family. The minority members were investors led by Auriga Capital. Gatz knew years in advance that the LLC’s primary sublessee, American Golf, would terminate its sublease, jeopardizing the LLC’s main revenue stream. Instead of seeking strategic alternatives, Gatz did nothing. When a credible third-party buyer, RDC, expressed interest in acquiring the LLC for a price potentially exceeding $6 million, Gatz actively discouraged the offer, refused to provide due diligence, and misled the minority members about the negotiations. He then used the LLC’s manufactured financial distress to justify a sham auction. The auction was poorly marketed and designed to deter bidders. Gatz, knowing he would be the only bidder, acquired the entire LLC for $50,000 over its debt, effectively squeezing out the minority members for a nominal sum.
