To bridge a $5 million gap in the sale price of Howard Leight Industries (HLI) to Bacou Dalloz USA, Inc. (Bacou), the parties agreed that Bacou would purchase its requirements for polyurethane prepolymer from Continental Polymers, Inc. (Continental), a new company formed by HLI’s former owners. This arrangement was memorialized in a signed letter dated January 12, 1998. The letter stated that Bacou “will enter into a supply agreement with [Continental]… for a period of five years provided that the quality and price of such raw material are equivalent to that which is then used by HLI and available from third-party suppliers.” After the sale of HLI closed, Continental built a manufacturing plant. When Continental was ready to supply the material, negotiations for a formal supply agreement broke down.
