Bank Brussels Lambert (BBL), through its New York branch, participated in a lending group for a loan to Arochem. The loan agreement was governed by New York law and closed in New York. As a condition precedent to the loan, the lenders retained Fiddler Gonzalez & Rodriguez (Fiddler), a Puerto Rican law firm, to issue an opinion concerning the validity of collateral located in Puerto Rico. Fiddler performed all its legal work in Puerto Rico, communicating with the lenders’ New York counsel via phone and fax but never entering the state for the transaction. Fiddler addressed its final opinion letter to the lenders’ agent in New York. BBL alleges that Fiddler learned of fraudulent activities by Arochem’s management through a separate representation but failed to disclose this information in its opinion. Relying on the clean opinion, BBL disbursed $75 million from its New York account. Arochem subsequently defaulted, and BBL suffered a significant financial loss. BBL sued Fiddler in the Southern District of New York for fraud and breach of fiduciary duty. The district court dismissed the complaint for lack of personal jurisdiction.
