Stearns Bank loaned money to Texana in 2002, taking a perfected security interest in Texana’s equipment, fixtures, and general intangibles. The security agreement specified that collateral included ‘sums due from a third party who has damaged or destroyed the Collateral.’ In 2006, Texana’s property was damaged by Bayer’s genetically modified rice, giving rise to a commercial tort claim. In 2007, Amegy Bank loaned money to Texana and took a specific, perfected security interest in Texana’s lawsuit against Bayer. After Texana defaulted on the Stearns loan, Stearns foreclosed on and purchased the existing physical collateral. Subsequently, Texana settled its lawsuit with Bayer for over $2 million. Both Stearns Bank and Amegy Bank claimed priority to the remaining settlement funds. Stearns argued its prior interest in general intangibles attached to the settlement once it became a ‘payment intangible,’ and alternatively, that the funds were proceeds of its original damaged collateral. Amegy argued its specific security interest in the tort claim had priority.
