Falstaff Brewing Corp. acquired the beer brands, trademarks, and distribution systems of P. Ballantine & Sons. The purchase agreement stipulated a price of $4 million plus a royalty of fifty cents on each barrel of Ballantine brands sold for a six-year period. The contract included a clause requiring Falstaff to use its “best efforts to promote and maintain a high volume of sales” for Ballantine products. After the acquisition, Falstaff faced severe financial difficulties. A new controlling party, Paul Kalmanovitz, implemented a stringent cost-cutting strategy to restore profitability. This strategy included drastically reducing the Ballantine advertising budget from $1 million to $115,000, closing a key distribution center in the New York metropolitan area, and generally prioritizing Falstaff’s overall profit margins over Ballantine’s sales volume. Consequently, Ballantine sales plummeted, while Falstaff’s overall financial condition substantially improved. The trustee for Ballantine’s former parent company, James Bloor, sued Falstaff, alleging a breach of the best efforts clause.
