The City of Huntington conveyed a parcel of land to the Huntington Urban Renewal Authority (the “Authority”) via a general warranty deed for a fee simple estate. However, the City had only acquired a life estate and had failed to acquire the interests of the remaindermen. The Authority then contracted to sell the property to Booker T. Washington Construction & Design Co. (“BTW”), which planned to build a residence for a private homeowner. A title search revealed the defect, showing the Authority only held a life estate. Consequently, BTW could not complete its sale and sued the Authority for breach of contract due to its inability to convey marketable title.
