The City of Huntington conveyed a parcel of land to the Huntington Urban Renewal Authority (the “Authority”) via a general warranty deed for a fee simple estate. However, the City had only acquired a life estate and had failed to acquire the interests of the remaindermen. The Authority then contracted to sell the property to Booker T. Washington Construction & Design Co. (“BTW”), which planned to build a residence for a private homeowner. A title search revealed the defect, showing the Authority only held a life estate. Consequently, BTW could not complete its sale and sued the Authority for breach of contract due to its inability to convey marketable title. The Authority filed a third-party complaint against the City, alleging a breach of the general warranty covenant in the original deed. The City argued that the warranty was not breached because the Authority had not been physically evicted or otherwise ousted from the property. While the litigation was pending, the City cured the title defect through a condemnation action but maintained it had no liability under the warranty.
