Brodie Hotel Supply, Inc. (“Brodie”) repossessed restaurant equipment and, with its consent, allowed James Lyon to take possession and operate a restaurant with it starting June 1, 1964, while they negotiated a sale. On November 2, 1964, Lyon obtained a loan from the National Bank of Alaska, secured by a chattel mortgage on the equipment. The bank filed a financing statement on November 4, assigning its interest to the Small Business Administration (SBA). On November 12, Brodie and Lyon finalized their sale. Lyon received a bill of sale and executed a chattel mortgage to Brodie to secure the unpaid purchase price, creating a purchase-money security interest (PMSI). Brodie filed its financing statement on November 23, 1964. A dispute arose between Brodie and the United States (representing the SBA) over which party had priority to the proceeds from the equipment’s sale. The government argued its priority was established by its earlier filing date, while Brodie claimed the special priority afforded to a PMSI holder who perfects within the statutory grace period.
