Plaintiff David Butler, an inventor, and Defendant Shiraz Balolia entered into a letter of intent (LOI) for the sale of Butler’s “Whirlwind” technology. The LOI memorialized the parties’ mutual intention “to negotiate and enter into a separate Purchase Agreement” by a specified date. The agreement stipulated that the parties “will use their best efforts to negotiate and attempt to agree to terms for the Purchase Agreement.” It also contained an exclusivity provision, which barred Butler from negotiating with other potential purchasers for a set period, and a choice-of-law clause selecting Washington law. The deal ultimately collapsed. Butler alleged that Balolia breached the LOI by fabricating deficiencies in the technology as a pretext to renegotiate the agreed-upon price and by otherwise failing to negotiate in good faith. Butler sued for, among other things, breach of contract. The district court granted Balolia’s motion to dismiss, reasoning that the LOI was not an enforceable contract of any kind under Washington law. Butler appealed the dismissal.
