Plaintiff Ednamae Caveny and her husband (the “buyers”) entered into a contract to purchase a residence from defendant Gable Park, Inc. (the “seller”). The written agreement expressly required the seller to convey the property “by good and sufficient deed free and clear of all liens and encumbrances.” The buyers paid $27,500 of the $28,500 purchase price. However, the seller failed to deliver the deed or remove a pre-existing mortgage on the property held by The Travelers Insurance Company. The buyers had knowledge of this mortgage at the time of contracting. The seller also failed to complete certain construction, including applying a final coat of paint. The buyers sued for specific performance to compel the seller to deliver a marketable title as promised. The seller argued that the buyers’ knowledge of the mortgage precluded them from obtaining specific performance or compensatory relief. The trial court granted specific performance, and the seller appealed.
