Rinden Professional Association, a law firm, entered into a 96-month lease-purchase agreement with Intertel for an office phone system. The agreement included a $1.00 purchase option, classifying it as a security agreement under UCC § 1-201(37). Intertel sought to assign its right to receive payments to Chemical Bank for financing. As a condition of the financing, Chemical Bank required Rinden to agree to a waiver-of-defenses clause. Rinden’s authorized agent signed a document containing this “hell or high water” clause, which explicitly stated that Rinden would not assert any defenses against the assignee (Chemical Bank) that it might have against the assignor (Intertel). Chemical Bank then paid Intertel over $8,800 for the assignment. After three years, the phone system malfunctioned. Rinden stopped making payments to Chemical Bank, asserting breach of warranty by Intertel as a defense. Intertel subsequently went bankrupt, and Chemical Bank sued Rinden to enforce the payment obligation.
