China Minmetals Materials, Ltd. (“Minmetals”), a Chinese corporation, sought to enforce a multi-million dollar arbitration award against Chi Mei Corporation (“Chi Mei”), a New Jersey corporation. The award was issued by the China International Economic and Trade Arbitration Commission (“CIETAC”) pursuant to an arbitration clause in two purported contracts for the sale of nickel. Chi Mei contended it never entered into these contracts, alleging they were forgeries containing a fraudulent signature and corporate stamp. Chi Mei maintained the actual transaction was an oral currency conversion deal, not a sale of goods. Despite its jurisdictional objection, Chi Mei appeared before CIETAC to argue the forgery issue. The CIETAC panel rejected the forgery claim, found it had jurisdiction, and issued an award for Minmetals. When Minmetals moved to confirm the award in U.S. District Court, the court granted the motion and entered judgment without conducting an evidentiary hearing or issuing a written opinion, despite Chi Mei’s evidence of forgery.
