Dan Cohen, a political campaign associate, provided damaging information about an opposing candidate to reporters from Cowles Media Co. and Northwest Publications, Inc. In exchange for the information, the reporters for both newspapers gave Cohen an unambiguous promise that his identity would be kept confidential. Relying on this promise, Cohen disclosed the documents. The editors of both newspapers independently decided to overrule their reporters and published Cohen’s name as the source, believing his identity was newsworthy. As a direct result of the publications, Cohen was fired from his job on the same day. The case was initially tried on theories of breach of contract and fraudulent misrepresentation. The Minnesota Supreme Court first held that the arrangement was not an enforceable contract because the parties did not intend to create a legally binding agreement. After the U.S. Supreme Court held that the First Amendment did not bar a promissory estoppel claim, the case was remanded to the Minnesota Supreme Court to consider recovery under that doctrine.
