Court Holding Co., a corporation whose sole asset was an apartment building, entered into oral negotiations for the sale of the property. The corporation and the prospective buyers reached an oral agreement on the terms of the sale. At a meeting to reduce the agreement to writing, the corporation’s attorney advised that consummating the sale would result in a large corporate income tax. The very next day, the corporation declared a “liquidating dividend” and deeded the building to its two shareholders. The shareholders then entered into a written sales contract with the same buyers, embodying substantially the same terms previously agreed upon with the corporation. A $1,000 payment previously made to the corporation by the buyers was applied as part of the purchase price paid to the shareholders. The Tax Court found that the entire transaction was, in substance, a sale by the corporation and that the liquidating dividend was a mere formality to avoid tax. The Circuit Court of Appeals reversed, drawing different inferences from the facts.
