Case Brief Summary & Legal Analysis

General Brief
4 min read

tl;dr: An employer offered a reward for catching thieves. A supervisor caught a thief and sued to collect. The court affirmed a jury verdict for the employee, finding a valid unilateral contract had been formed and accepted through performance beyond the employee’s normal duties.

Legal Significance: This case clarifies that a general reward offer to employees can form a valid unilateral contract. It establishes that an employee’s performance beyond their pre-existing duties constitutes valid consideration, and the employee’s motive for performance is largely irrelevant if they are aware of the offer.

Case Facts & Court Holding

Key Facts & Case Background

Consolidated Freightways (defendant) posted signs at its terminal offering “up to $5,000 reward” for information leading to the arrest and conviction of anyone stealing company property. The sign instructed individuals to “contact your supervisor or terminal manager.” Williams (plaintiff), a dock foreman and supervisor for the defendant, became aware of the offer. Suspecting theft, Williams arranged for another employee to cover his duties while he hid in a trailer to observe the area. His surveillance led to the arrest and conviction of a thief. The defendant refused to pay the reward, arguing that: (1) the offer did not extend to supervisors, as evidenced by the instruction to “contact your supervisor”; (2) Williams did not rely on the offer, as he testified he was not thinking about it during the surveillance; (3) the term “up to $5,000” was too indefinite to be enforceable; and (4) Williams was merely performing his pre-existing employment duty, meaning there was no consideration. A jury found for Williams and awarded him $5,000.

Court Holding & Legal Precedent

Issue: Can an employee accept an employer’s general reward offer, thereby forming an enforceable unilateral contract, by performing an act that exceeds the scope of their ordinary employment duties, even if the offer’s terms are ambiguous and the reward was not the employee’s primary motive?
