Piece of America (POA) hired Gray Loon Outdoor Marketing (Gray Loon) to design, build, and host a website. The initial proposal included a statement of Gray Loon’s “philosophy” that clients own the goods and services purchased. The initial website was completed and paid for in full. Subsequently, POA orally requested significant modifications to the site. Gray Loon performed the work without providing a price quote, which POA did not request. After completing the modifications, Gray Loon billed POA $5,224.50. A representative for POA initially accepted the invoice but stated the company needed time to acquire funds. POA ultimately failed to pay for the modifications and the monthly hosting fees. After providing notice, Gray Loon took the entire website offline. Gray Loon had not created a backup of the original version of the site. Gray Loon sued for non-payment, and POA filed a counterclaim for criminal conversion, alleging that Gray Loon had destroyed its property—the original website for which it had paid.
