Delacy Investments, Inc. (CE), a receivables factoring company, entered into a master agreement with Steven Thurman, a real estate agent, granting CE a perfected security interest in all of Thurman’s current and future accounts receivable (commissions). Subsequently, Thurman signed an independent contractor agreement with brokerage Re/Max Real Estate Guide, Inc. This agreement stipulated that Re/Max could deduct any overhead expenses and other debts Thurman owed from the commissions he earned. CE later purchased a specific $10,000 commission receivable from Thurman related to the Keller Lake property sale and notified Re/Max of the assignment. Shortly thereafter, Re/Max terminated Thurman, claiming he owed over $11,000 in past-due expenses. Citing its contract with Thurman, Re/Max applied the entire Keller Lake commission to his outstanding debt and refused to pay CE. CE filed suit against Re/Max, the account debtor, to compel payment of the assigned account.
