For ten years, Krack Corp. (buyer) purchased steel tubing from Metal-Matic, Inc. (seller). Krack would send a purchase order, and Metal-Matic would respond with an acknowledgment form before shipping the tubing. Metal-Matic’s form contained a disclaimer of liability for consequential damages and limited its liability to refund, repair, or replacement. Crucially, the form stated that Metal-Matic’s acceptance was “expressly made conditional to purchaser’s acceptance of the terms and provisions of the acknowledgment form.” At one point, Krack’s purchasing manager explicitly objected to the disclaimer terms in a discussion with Metal-Matic’s executive, who refused to alter them. Despite this unresolved dispute, the parties continued to transact business, with Krack accepting and paying for the tubing. When a defective tube from Metal-Matic caused a leak in a cooling unit sold by Krack, resulting in consequential damages to a third party (Diamond Fruit Growers), Krack sought indemnity from Metal-Matic. Metal-Matic asserted its disclaimer of liability as a defense.
