The PC later converted into a registered limited liability partnership (LLP), Gursky & Ederer, LLP, but the partners never executed a written partnership agreement. After a dispute, Ederer withdrew from the LLP and subsequently sued the partnership and the individual remaining partners for, among other things, an accounting of his partnership interest. The individual defendants moved for summary judgment, arguing that as partners in a registered LLP, they were personally shielded from liability for the partnership’s obligations under New York Partnership Law § 26(b). They contended this shield applied to all partnership debts, including the obligation to pay a withdrawing partner his share.
