Plaintiff Louis Ederer became an equity partner in a law firm organized as a professional corporation (PC). The PC later converted into a registered limited liability partnership (LLP), Gursky & Ederer, LLP, but the partners never executed a written partnership agreement. After a dispute, Ederer withdrew from the LLP and subsequently sued the partnership and the individual remaining partners for, among other things, an accounting of his partnership interest. The individual defendants moved for summary judgment, arguing that as partners in a registered LLP, they were personally shielded from liability for the partnership’s obligations under New York Partnership Law § 26(b). They contended this shield applied to all partnership debts, including the obligation to pay a withdrawing partner his share. Ederer countered that the liability shield only applies to debts owed to third parties and does not negate the fundamental fiduciary duties partners owe to one another, such as the duty to account. The trial court denied the defendants’ motion, and the Appellate Division affirmed, leading to this appeal.
