Eli Lilly and Company (Lilly) and Emisphere Technologies, Inc. (Emisphere) entered into a series of contracts for a collaborative research program to develop an oral delivery system for parathyroid hormone (PTH). The PTH License Agreement granted Lilly an exclusive license to use Emisphere’s proprietary carrier technology solely within the defined “Field” of oral PTH delivery. Section 2.1 of that agreement explicitly stated, “Lilly shall not have any rights to use the Emisphere Technology… other than insofar as they relate directly to the Field.” The agreements also contained strict confidentiality provisions (§ 11.2) and a clause assigning ownership to Emisphere of any new inventions arising from discussions between the parties’ scientists (RCOA II § 1.5(c)). While the collaboration was ongoing, Lilly secretly formed an internal team, led by the same manager overseeing the joint project, to research the use of Emisphere’s carriers with other proteins, specifically GLP-1. A key scientist from the joint project briefed this secret team, sharing non-public and confidential information from the Emisphere collaboration. Lilly subsequently filed a patent application for its GLP-1 research. Upon discovering the patent application, Emisphere alleged breach and, after failed negotiations, terminated the agreements.
