Plaintiff Embry was an employee of the defendant, Hargadine, McKittrick Dry Goods Co., under a written contract expiring December 15, 1903. On December 23, Embry approached the company’s president, McKittrick, stating that his contract had lapsed and that he required a new one-year contract or he would quit immediately to seek other employment. According to Embry, McKittrick replied, “Go ahead, you’re all right; get your men out and don’t let that worry you.” Embry understood this as an assent to a one-year renewal and continued working. McKittrick denied intending to re-hire Embry, claiming he was too busy to discuss a contract and told Embry he would have to see him at a later time. The company subsequently terminated Embry’s employment on March 1, 1904. At trial, the jury was instructed that a contract was formed only if both parties subjectively intended to enter into one. The jury found for the defendant, and Embry appealed, challenging the jury instruction.
