Independent Taxi Owners Association, Inc. (ITOA), originally a for-profit Delaware stock corporation, amended its certificate in 1928 to become a nonprofit, nonstock, mutual benefit corporation. The amended certificate created voting and non-voting classes of members, with the latter entitled to share in the corporation’s assets upon dissolution. In 1989, ITOA’s governing body, without notice to or a vote by the non-voting members, approved a series of amendments to its certificate of incorporation. These amendments changed the corporation’s name to DCX, Inc., converted it back into a for-profit stock corporation, authorized the issuance of stock, and eliminated the prior membership structure. This action effectively extinguished the non-voting members’ class and their contingent right to share in corporate assets. The non-voting members challenged the legality of these actions. The District of Columbia Court of Appeals certified questions to the Delaware Supreme Court to determine if the Delaware General Corporation Law (GCL) authorized these changes.
