First American Commerce Co. (Borrower) obtained a commercial loan from First Security Realty Services (Lender), secured by a deed of trust. The loan agreement required the Lender’s written approval for all new leases and provided that a portion of the loan proceeds would be held in a “hold-back” fund until certain tenant improvements were completed. On the same day the loan was executed, Lender assigned the loan to Washington Mutual Savings Bank (Assignee), an action to which Borrower consented. Subsequently, Borrower sought approval for a new lease, but neither Lender nor Assignee would provide the required written consent, causing Borrower to lose the leasing opportunity. After completing the tenant improvements, Borrower requested the release of the held-back funds from Lender. Lender refused, asserting that its assignment of the loan to Assignee also delegated all its contractual duties, thereby relieving it of any further obligations. Borrower sued both Lender and Assignee. The trial court granted summary judgment for Lender, from which Borrower appealed.
