Florafax International, Inc. (Florafax), a floral wire service, contracted with Bellerose Floral, Inc. (Bellerose) to handle customer calls for Bellerose’s “1-800-FLOWERS” service. The Florafax/Bellerose contract was terminable by either party with 60 days’ notice. Shortly after, Florafax subcontracted these telemarketing duties to GTE Market Resources, Inc. (GTE) under a multi-year agreement. GTE was aware of the Bellerose relationship and its significant order volume when it entered the contract with Florafax. Finding the contract unprofitable, GTE intentionally understaffed its call center during peak periods, including Mother’s Day, resulting in severely deficient service. As a direct result of GTE’s poor performance, Bellerose terminated its contract with Florafax. Florafax sued GTE for breach of contract, seeking, among other damages, the profits it would have earned from the Bellerose contract for the remainder of the GTE contract’s two-year minimum term. The jury awarded Florafax $750,000 in lost profits. GTE appealed, arguing that profits from a collateral contract were not recoverable, or, alternatively, should be limited to the 60-day notice period of the Florafax/Bellerose contract.
