Eugene Gagliardi, founder and shareholder of TriFoods International, Inc., filed a derivative suit against its directors and certain shareholders, alleging mismanagement after his removal as Chairman. These included: acquiring and moving to a new manufacturing plant in Pomfret, Connecticut, deemed foolish and financed by borrowing; acquiring a duplicative research facility; implementing a reckless sales commission structure; purchasing the ‘Steak-umms’ brand at an allegedly inflated price; paying a consultant for a new logo; damaging customer and supplier relations through inferior products and non-payment; and attempting to acquire ‘Lloyd’s Ribs’ at an excessive price.
