Hart Enterprises International, Inc. (Hart), a New York textile purchaser, entered into multiple sales contracts with Anhui Provincial Import & Export Corp. (Anhui), a Chinese supplier. These contracts, termed “Sales Confirmations” and signed by Hart, contained a clause mandating arbitration in China for all disputes arising from or in connection with the contracts. Disputes arose, leading to a settlement agreement on September 2, 1993, which required Hart to make scheduled payments. The settlement stipulated that if Hart failed to perform, Anhui could pursue claims under the original contracts. Hart defaulted on these payments. Anhui initiated arbitration proceedings in China. Hart subsequently filed this action in U.S. court, alleging quality deficiencies and breach of the settlement agreement. Six additional contracts, the “Lu Contracts,” nominally with other entities but signed by Hart’s agent, Mr. Lu, also contained identical arbitration clauses. Hart contended it was an assignee of these Lu Contracts and not bound to arbitrate under them.
