Elmer Hillesland was a long-term employee of the Federal Land Bank Association (the Association), serving as its Chief Executive Officer from 1972 until his discharge in 1983. The termination followed a transaction where Hillesland’s sons purchased a farm from financially distressed Association customers. Hillesland had learned of the customers’ situation through his employment. Although Hillesland disclosed the proposed transaction and received approval from the Association’s board and a review committee from the Federal Land Bank of St. Paul (the Bank), the Bank later investigated the matter. Citing a violation of conduct standards and damage to the institutions’ reputation, representatives of the Bank discharged Hillesland. Hillesland sued, alleging breach of contract. He argued that his long tenure and his “impression” from his initial hiring interview that he had a “career type position” created a contract for permanent employment, terminable only for cause. He further argued that his termination breached an implied covenant of good faith and fair dealing. The trial court granted summary judgment for the defendants.
