In 1970, Dora B. Hillman (settlor) created an irrevocable trust, naming her son, Howard B. Hillman, as the primary beneficiary and sole trustee. Hillman was entitled to the trust’s net income and use of its properties for life. The trust granted Hillman a power of appointment, allowing him to distribute trust principal to a class of permissible appointees: “my said son’s spouse, his issue, my issue, or the spouses of any of his issue or of any of my issue.” As the settlor’s son, Hillman is literally one of “my issue.” If this language were interpreted to allow Hillman to appoint principal to himself, it would create a general power of appointment under federal tax law. This would cause the entire trust principal to be included in his taxable estate upon his death, regardless of whether he exercised the power. The trust also contained a spendthrift provision restricting beneficiaries’ access to principal and a clause allowing Hillman to purchase trust property at fair market value. Hillman filed for declaratory relief, seeking a judicial interpretation that the power of appointment does not authorize him to appoint principal to himself, thereby classifying it as a special power of appointment.
