Cook Development acquired two parcels of land. In a subsequent internal transfer, a quitclaim deed intended to convey an 823-acre parcel from an LLC named LC Farms to Cook Development erroneously identified a different LLC, LC Associates, as the grantor. As a result, Cook Development never actually held title to the 823-acre parcel. Unaware of this error, Cook Development then sold both parcels to Holmes Development, LLC (“Holmes”) via a statutory warranty deed. The title insurer, First American, later discovered the defect and, to rectify it, had LC Farms execute a corrective special warranty deed conveying the parcel directly to Holmes. Subsequently, a third party, Keystone, asserted ownership through a separate purported conveyance from LC Farms and filed a quiet title action against Holmes, recording a lis pendens. The litigation, which prevented Holmes from selling lots, was ultimately resolved in Holmes’s favor, confirming its title. Holmes then sued Cook Development for damages, including lost profits, alleging a breach of the covenants of title contained in the original warranty deed.
