Charles H. Bayley’s 1928 will created a testamentary trust, with income payable to his widow, other relatives, and several charities. The trust was to terminate upon the death of the last life beneficiary, at which point the principal would be distributed to various charities, with the residue going to the Museum of Fine Arts to establish a fund for purchasing art. By 1966, years after the widow’s death, the trust corpus had grown to over $6.8 million. The income generated vastly exceeded the amount needed to pay the two remaining life annuitants, resulting in the accumulation of over $600,000 in surplus income. All surviving beneficiaries, including the annuitants and the Museum, entered into an agreement to partially terminate the trust. The agreement secured increased payments for the remaining annuitants and charities while calling for the immediate distribution of the vast remainder of the principal to the Museum. The probate court approved the agreement, finding that due to inflation and the rising cost of art, immediate distribution would better serve the testator’s intent. The trustee appealed to confirm the validity of the court’s order.
