Atlantic City (the “City”) entered into poorly drafted agreements with Zemurray Street Capital LLC, an entity controlled by W. Wesley Drummon, to create a $3 million lending program. The City deposited the funds into an escrow account. Drummon, as authorized by the agreements, used the $3 million to have Zemurray acquire TN BIDCO, the company designated to make the loans. The loan program never materialized, and the funds were dissipated. The City sued Drummon, who invoked his Fifth Amendment rights during a deposition. Subsequently, Drummon filed for Chapter 7 bankruptcy. In his initial bankruptcy schedules, Drummon disclosed his interest in Zemurray but valued it at $0.00, failing to list his indirect ownership via another entity, Taipan Holdings LLC. After the City initiated an adversary proceeding, Drummon amended his schedules to correctly reflect his interest in Taipan. The City sought to have its $3 million debt deemed nondischargeable under 11 U.S.C. § 523(a)(2)(A) and (a)(6), and to have Drummon’s entire discharge denied under § 727(a)(4) for making a false oath.
