Elizabeth Lucas gifted an undivided interest in land to the Hawaiian Humane Society (HHS) via deeds containing a use restriction. The deeds specified the land was to be used as an “educational preserve for flora and fauna.” The gift was structured as a fee simple determinable, providing that if the land was not used for this purpose, it would go to the State of Hawaii to be used as a public park (a gift over). After years of study, HHS determined that creating an educational preserve on the site was physically and economically impracticable due to the land’s remoteness, steep terrain, and residential location. The State, the beneficiary of the gift over, also determined the land was unsuitable for a public park, finding its best use was as a watershed and forest reserve. All parties, including the State and Lucas’s heirs, agreed to a land exchange and sale. HHS would sell its interest, free of the restriction, and use the proceeds to establish an educational fund for its programs.
