While a 17-year-old, Kobe Bryant negotiated a licensing agreement with The Score Board, Inc. (Debtor). After initial negotiations, Debtor sent a signed offer. Bryant made a counter-offer by altering several terms, including payment for autographs, signing it, and returning it to Debtor. Debtor claimed its vice president signed the counter-offer but subsequently misplaced the fully executed copy. Three days after Bryant turned 18, he deposited a $10,000 check from Debtor, which was the initial payment stipulated in the agreement. For approximately a year and a half, both parties performed their obligations under the contract, with Bryant signing thousands of autographs and making personal appearances. When Debtor experienced financial difficulties and filed for Chapter 11 bankruptcy, Bryant attempted to repudiate the contract. He argued that no contract was ever formed because Debtor never communicated its acceptance by providing a signed copy. In the alternative, he argued the contract was voidable because he entered into it as a minor.
