tl;dr: A clothing company used a yachting association’s trademark after an inadequate search. The court held that this willful ignorance, combined with continued sales after being sued, could constitute bad faith, requiring reconsideration of whether the association could recover the company’s profits and attorney’s fees.

Legal Significance: Establishes that willful ignorance, evidenced by an inadequate trademark search against counsel’s advice and continued sales post-lawsuit, can constitute bad faith under the Lanham Act, justifying an award of profits and attorney’s fees even without proof of actual damages.

Case Facts & Court Holding

Key Facts & Case Background

The International Star Class Yacht Racing Association (ISCYRA), a non-profit governing a class of yacht racing, uses the unregistered trademark “STAR CLASS” and a five-pointed star insignia on promotional items. Tommy Hilfiger, U.S.A., Inc. (Hilfiger), a major apparel company, designed a nautical-themed clothing line featuring the “STAR CLASS” mark and a red star, intending to evoke “authentic details from the sport of competitive sailing.” Before launching the line, Hilfiger’s attorneys conducted a trademark search limited to federally registered marks in the clothing classification. Despite counsel’s advice to conduct a “full trademark search,” Hilfiger proceeded without one. After ISCYRA filed suit for trademark infringement under the Lanham Act, Hilfiger conducted a full search which confirmed ISCYRA’s common law mark. Nevertheless, Hilfiger did not recall its merchandise and continued to sell the infringing garments, generating over $3 million in sales. The district court found infringement and granted an injunction but denied an accounting of profits or attorney’s fees, finding Hilfiger had not acted in bad faith.

Court Holding & Legal Precedent

Issue: Does a defendant’s failure to conduct a comprehensive trademark search despite its attorney’s advice, combined with its continued sale of infringing goods after receiving notice of the plaintiff’s rights, constitute willful infringement or bad faith sufficient to support an award of profits and attorney’s fees under the Lanham Act?
