Barclay Industries (Barclay), a New Jersey-based manufacturer, sent a letter to Interstate Industries (Interstate), which had a facility in Indiana, concerning the manufacture of fiberglass panels. The letter was explicitly labeled a “price quotation.” It provided prices for truckload quantities as “freight prepaid” but specified that smaller orders would be “F.O.B. Lodi,” Barclay’s location in New Jersey. The quotation did not specify the quantity of goods, a time for delivery, or payment terms. Interstate responded by mailing two purchase orders to Barclay’s New Jersey office. Subsequently, Barclay sent a letter from New Jersey informing Interstate that it would be unable to fulfill the orders. Interstate filed a breach of contract suit in federal court in Indiana, asserting that its purchase orders accepted Barclay’s offer (the price quotation), thereby creating a contract to supply goods in Indiana. Barclay moved to dismiss for lack of personal jurisdiction, arguing that no contract was ever formed and it had no other relevant contacts with Indiana.
