Defendant LegalZoom.com, Inc. offered an online portal where customers could obtain legal documents. Customers answered questions via a software-driven “online questionnaire” or decision tree. LegalZoom’s software then used the customer’s answers to automatically populate proprietary legal document templates created by attorneys. A LegalZoom employee would review the customer’s data for completeness, spelling, and consistency, and would contact the customer to clarify information if necessary. After the software generated the document, another employee performed a quality check on formatting before sending the final, unexecuted document to the customer. For certain documents, such as trademark applications, LegalZoom would determine the appropriate government form and file it on the customer’s behalf.
