In 1991, Joe and Jeri Gambrell subdivided property, selling three lots and retaining one. For the first lot sold to Mr. Foshee in 1992, the Gambrells attached an undated, unsigned page listing restrictive covenants (including a ‘residential purposes only’ clause) to the deed. The deed itself left blank the space for encumbrances and did not reference the attachment, though it was recorded with the deed. Foshee later sold this lot to Sonny and Carrie Nivens in 1996 via a warranty deed stating there were no encumbrances. However, the trial court found, and the Nivenses did not dispute on appeal, that they had actual notice of the restrictions prior to their purchase, as their real estate agent had provided them a copy. The Nivenses began constructing a commercial wedding chapel, Carahills Estate. The Gambrells sued to enforce the restrictions and enjoin the commercial use. The trial court found the Nivenses had actual notice and granted a permanent injunction.
