Four Colonies Homes Association (Four Colonies) is a homeowners association governed by a Declaration of Covenants, Conditions, and Restrictions (Declaration) and a set of Bylaws. Amending the Declaration required a 75% supermajority vote of all lot owners, while amending the Bylaws required only a simple majority of owners present at a meeting. The Declaration contained various use restrictions but did not prohibit renting; it explicitly referred to owners’ “tenants” and “lessees.” The Kiekels owned and rented eight properties within the subdivision. In 2004, citing complaints about tenants, Four Colonies passed an amendment to its Bylaws imposing significant restrictions on an owner’s right to rent. The amendment passed with a 51% vote of the members present at the meeting. When Four Colonies attempted to enforce the new bylaw, the Kiekels filed for a declaratory judgment to have it declared void. Four Colonies counterclaimed for an injunction, arguing the Kiekels’ rental activity violated existing Declaration provisions against “commercial use” and “noxious activity.”
