Plaintiffs John and Marlene Kuhn contracted to purchase a home from defendant Spatial Design, Inc., contingent on obtaining mortgage financing. The Kuhns, with assistance from mortgage brokers, submitted a mortgage application containing material misrepresentations about their income and assets to Prudential Home Mortgage Company, knowing their true financial situation would not secure the loan. Prudential initially issued a commitment for a “no documentation” loan but later withdrew it after Kuhn, seeking to exit the purchase contract due to a cooling market and job search difficulties, falsely informed Prudential he was retiring (while simultaneously withdrawing his retirement from the Air Force). The Kuhns then attempted to void the purchase contract, citing failure of the mortgage contingency. Spatial Design refused to return the deposit and counterclaimed for breach of contract. The trial court found the Kuhns breached the contract by their fraudulent conduct leading to the mortgage withdrawal. The property was later resold by Spatial Design at a lower price in a declining market.
