Leslie Lechner (seller) and the Hallings (buyers) entered into an agreement for the sale of a tavern, using Donahue Realty as an escrow agent. The Hallings deposited the full purchase price—comprising cash and title to a house trailer—with Donahue. Lechner, in turn, deposited a warranty deed, bill of sale, and other title documents. The escrow was conditioned upon Lechner providing these instruments of conveyance. On January 21, with all documents having been deposited by Lechner, Donahue delivered the deed and title policy to Mr. Halling. Halling then signed a written instrument authorizing Donahue to release all funds to Lechner. Immediately after, Halling handed the deed back to Donahue for the ministerial task of recording. Before Donahue disbursed the funds to Lechner, she embezzled the money and her business entered receivership. Lechner sued the Hallings to recover the purchase price, arguing the loss was theirs because he had not yet been paid. The trial court found for the Hallings, and Lechner appealed.
