Legacy Bank held a prior perfected security interest in all of Canyon Drilling’s accounts receivable, governed by a security agreement containing a non-waiver clause. After Canyon defaulted on its obligations, Appellees, who were unsecured trade creditors, obtained a judgment against Canyon. To collect on the judgment, Appellees initiated a writ of garnishment against accounts receivable owed to Canyon by a third party. At the time of the garnishment, Legacy had not formally declared Canyon in default or initiated foreclosure, choosing instead to continue working with the financially troubled debtor. Legacy intervened in the garnishment action, asserting the superiority of its prior perfected security interest. The trial court, based on a jury finding, held that Legacy had waived its security interest through its inaction and awarded the garnished funds to Appellees. Legacy appealed, arguing its UCC priority entitled it to the funds as a matter of law.
