Appellant Lohman (seller) and Appellees Wagner (buyer) discussed Lohman supplying weaner pigs. Lohman needed documentation for a bank loan. Wagner faxed a pre-signed “Weaner Pig Purchase Agreement” template to Lohman, which contained a blank line for the quantity of pigs. Wagner testified this was merely a “sample or a draft” to assist Lohman with financing, not a binding contract. The fax cover sheet stated: “I trust this will help you in securing financing as we had discussed.” Without further communication with Wagner, Lohman unilaterally inserted “300” as the approximate number of weaner pigs to be supplied weekly, signed the document, and faxed it to his bank, but never sent the altered document to Wagner. Lohman supplied pigs to Wagner for several months, initially at a price consistent with the draft agreement, but later at a reduced price due to market conditions. Wagner’s planned pork network never materialized. Lohman sued for breach of contract when Wagner stopped purchasing pigs.
