Case Facts & Court Holding
Key Facts & Case Background
Major’s Furniture Mart, Inc. (Major’s), a retail furniture seller, entered into an “Agreement” with Castle Credit Corp. (Castle), a finance company, for the purported “sale” of Major’s accounts receivable. The Agreement stipulated that all accounts were “sold” with full recourse against Major’s. Major’s was required to warrant the collectibility of each account and to repurchase any account in default for more than 60 days, paying Castle the full balance due by the customer, not merely the discounted amount Major’s had received. Castle paid Major’s the face amount of the accounts, less a “discount” (initially 15%, later unilaterally changed by Castle based on prime rate) and a 10% reserve against bad debts. Castle retained sole discretion to refuse any account. After Major’s allegedly defaulted, Castle contended the transactions were true sales, entitling it to retain all collected sums. Major’s sued, arguing the arrangement was a secured financing, thus entitling Major’s to any surplus collected by Castle beyond the debt owed, pursuant to UCC Article 9. Both parties agreed no further facts were needed for summary judgment on this issue.
Court Holding & Legal Precedent
Issue: Did the agreement between Major’s and Castle, despite being labeled a “sale” of accounts receivable, constitute a secured financing transaction subject to UCC Article 9 requirements for accounting for surplus, rather than an absolute sale?
