Defendant, an author, entered into a five-year written contract with plaintiff, an attorney, to act as his “personal representative and manager” for 10% of defendant’s earnings. Disputes arose, leading to a subsequent written settlement agreement. In this settlement, defendant acknowledged the “validity” of the original contract and released plaintiff from all obligations to render further services. Plaintiff, in turn, agreed to waive compensation in any year defendant earned less than $20,000. Plaintiff later sued for compensation due under the original contract as modified by the settlement. The trial court dismissed the action, finding the original contract created an attorney-client relationship. The Appellate Division affirmed the dismissal but on the different ground that the original contract, as modified by the settlement, was “void, unconscionable and against public policy” (277 App. Div. 1097, 1098) because it purportedly required no services from plaintiff. Plaintiff appealed to the New York Court of Appeals.
