First of America Bank (FOA) held a first-priority mortgage on a ski hill, properly recorded in 1980, which covered after-acquired fixtures. The debtor later purchased the property and installed a large chairlift, which the court determined was a fixture under Michigan law. Subsequently, Cliffs Ridge Development Co. (Cliffs Ridge Dev.) took a second mortgage on the property, which was recorded in November 1982. Finally, in December 1982, First National Bank (First National) loaned the debtor funds and took a security interest specifically in the chairlift, perfecting its interest with a UCC fixture filing. To induce this loan, FOA, the senior mortgagee, executed a subordination agreement making its interest in the chairlift junior to First National’s interest. Cliffs Ridge Dev., the intervening second mortgagee, was not a party to this agreement. After the debtor’s bankruptcy, the chairlift was sold, and all three creditors asserted a right to the proceeds, which were insufficient to satisfy all claims.
