Case Brief Summary & Legal Analysis

General Brief
4 min read

tl;dr: An insurer defended its insured school district against a breach of contract claim without reserving its right to deny coverage. The court held the insurer’s failure did not create coverage for a claim explicitly excluded by the policy, reaffirming that estoppel cannot expand policy scope.

Legal Significance: This case reinforces the long-standing Wisconsin rule that waiver and estoppel cannot create or expand insurance coverage for risks not contracted for. It distinguishes between non-waivable coverage clauses and waivable forfeiture conditions, clarifying the limited effect of an insurer’s failure to reserve rights.

Case Facts & Court Holding

Key Facts & Case Background

Hartford Union High School District (“the District”) was sued by a former employee for breach of her employment contract, seeking damages for lost salary. The District was insured by Community Insurance Corporation (CIC) under a policy that explicitly excluded liability for “loss of salary or fringe benefits of your employee(s).” The District tendered the defense to CIC, which accepted and appointed counsel to defend the suit. For nearly two years, CIC controlled the defense without issuing a reservation of rights letter or otherwise indicating it might contest coverage. After the trial court granted summary judgment against the District, finding it liable for the lost salary, CIC informed the District that the damages were not covered due to the policy’s exclusion. The District filed a third-party complaint against CIC, arguing that by assuming the defense without a reservation of rights, CIC had waived its coverage defense or was estopped from asserting it. The trial court granted summary judgment to CIC, the court of appeals reversed, and the Wisconsin Supreme Court granted review.
