Plaintiff McKinney/Pearl Restaurant Partners, L.P. (Sambuca), a tenant, entered into a commercial lease requiring the landlord to maintain the building’s structural system. The property was later acquired by Defendant Metropolitan Life Insurance Co. (MetLife). In 2009, Sambuca reported significant structural issues. MetLife, through property manager Defendant CBRE, initiated a prolonged “phased investigation.” Sambuca alleged this investigation was a pretextual delay and that MetLife and CBRE made numerous misrepresentations regarding the cause of the structural problems, the efficacy of proposed repairs (such as drain line replacement), and their intent to complete all necessary structural repairs. Sambuca contended these misrepresentations induced it to continue performing under the lease and not pursue remedies sooner. Despite ongoing problems, Sambuca exercised a renewal option in 2013 and executed a Third Amendment to the Lease in 2014, while litigation was pending. MetLife subsequently sold the property to Defendant MCPP 2100 McKinney, LLC (MCPP). Sambuca sued MetLife for breach of contract (failure to repair, repudiation, breach of quiet enjoyment) and torts (fraud, negligent misrepresentation, civil conspiracy). MCPP was sued for breach of contract. Defendants moved for summary judgment on all claims.
